The following are the terms and conditions (“Terms”) for the Wild Fork Refer a Friend program (the “Program”) offered by Food Ventures North America Canada, Inc. dba / Wild Fork Canada (“Wild Fork”). By participating in the Program, you are agreeing to these Terms and the Wild Fork Terms of Use.
ELIGIBILITY. The Program is open to legal Canadian residents currently residing in the Greater Toronto Area, Ontario who are at least 18 years old and have an active Wild Fork Canada customer. Employees of Wild Fork and its parents, subsidiaries, affiliates, or the Program and advertising agencies; and members of any of such employees’ immediate family (spouse, parent, sibling or child and their respective spouses, regardless of where they reside) or persons living in the same household of any such employees, whether or not related, are not eligible to participate. Wild Fork reserves the right to verify all eligibility qualifications. You agree not to send the invitation email to anyone unless they are at least 18 years old. The Program is subject to all applicable federal, state, and local laws, and you may not participate in the Program where doing so would be prohibited by application law. By participating in to the Program, you acknowledge and agree that you and anyone who you refer meet all of these eligibility requirements. False, fraudulent or deceptive entries or acts shall render a referral ineligible.
PRIVACY. The personal information collected, processed and used as part of the Program will be used in accordance with our Privacy Policy (https://www.wildfork.ca/en-CA/policies/). The Program is administered on our behalf by our third party service provider (“Service Provider”), and the email addresses and other information that you provide about each Friend (as defined in Section 3) will be used to send Offer (as defined in Section 4) emails on your behalf by Wild Fork or its Service Provider. The Offer may include your first name, and by participating in the program, you consent to us sharing your first name with your Friend (as defined in Section 3). We may also contact you about your participation in the Program. You also explicitly consent to Company and/or its Service Provider sending a follow-up communication(s) on your behalf to encourage or remind those you have invited to complete a Qualifying Sign Up.
REFER-A-FRIEND PROGRAM. To enter the Program, login into your account on www.wildfork.ca and follow the on-screen instructions under “Refer A Friend” to refer friends, family members or colleagues (each, a “Friend”). Each friend will receive an Offer (as defined below). For each Qualifying Purchase (as defined below), you will receive code for $10 off any online purchase of $45 or more (the “Reward”). All Rewards expire December 31, 2023, and cannot be used with any other Reward. By providing your Friend’s email address, you represent that you know the Friend whom you are referring, you genuinely believe they would be interested in the Offer, and that, to the extent any consent is necessary, you have consent to provide us with your Friend’s email. The Friend’s email address you provide will be used to send your Friend the Offer.
QUALIFYING SIGN UP. Each Friend will receive a link for $10 off any online purchase of $45 or more (the “Offer”). Each Offer expires December 31, 2023, and cannot be combined with any other promo or offer. A “Qualifying Purchase” is a purchase by the Friend using the link in Offer. If a Friend makes a purchase using any other link or method, the purchase will not count as a Qualifying Purchase and you will not receive credit for that purchase. Additionally, to count as a Qualifying Purchase, the Friend must: (a) not have made a Wild Fork purchase using the email entered by you as the Friend’s email; and (b) be a legal resident in Canada residing in the Greater Toronto Area, Ontario and at least 18 years old. Only one (1) Qualifying Purchase can be earned per Friend, and there is a limit of one (1) Offer per Friend. Any additional or subsequent purchases by a Friend or Offers sent to a Friend will not count as a Qualifying Purchase or Offer.
RESTRICTIONS. You must only submit legitimate email addresses of Friends who are real people that you know. You may not, and by participating in the Program you agree not to: (a) create multiple or fake accounts with Wild Fork or pretend to be your own “Friend” in order to participate in the Program; (b) use the Program in a manner that violates any law, infringes or violates the rights of any third party; (c) act in a manner that is deemed unfair, disruptive, harassing, harmful, illegal, hateful, obscene, [potentially] fraudulent, or outside the spirit and intent of the Program; (d) tamper, damage or inhibit the operation of the Program; or (e) use any system, bot or other device or artifice to participate or receive any benefit from the Program. Wild Fork reserves the right to terminate your account and/or your Wild Fork membership if Wild Fork believes you are acting an in questionable manner or breaching these Terms.
VERIFICATION. Company may delay a Reward: (a) to verify a Qualifying Purchase; and (b) for investigative purposes. It may also refuse to verify and process any transaction Company deems, in its sole discretion, to be fraudulent, suspicious, in violation of these Terms, or believes will impose potential liability on Company, its subsidiaries, affiliates or any of their respective officers, directors, employees, representatives and agents. All of Company's decisions are final and binding, including decisions as to whether a Qualifying Purchase is verified or a Reward is earned pursuant to these Terms.
RIGHT TO CANCEL OR MODIFY. Wild Fork reserves the right to modify, suspend or cancel the Program at any time and without notice in its sole discretion. Any unused Offers or Rewards as of the date of termination of the Program may still be used until the expiration date of the Offer or Reward. We reserve the right to disqualify you at any time from participating in the Program if you do not comply with these Terms or we believe you have engaged in fraud or the violation of law. Wild Fork reserves the right in its sole discretion to prohibit you from participating in the Program and/or terminate your account or Wild Fork membership if Wild Fork determines or suspects that you have done or attempted to do the following: (a) violate of these Terms; (b) unusual behavior or activity; or (c) act in a way inconsistent with the intended operation of the Program, as determined in Wild Fork’s sole discretion.
GENERAL CONDITIONS. By participating in the Program, you agree: (a) to abide by these Terms and decisions of Wild Fork, which shall be final in all respects relating to the Program and determined in Wild Fork’s sole discretion; and (b) to release, discharge and hold harmless Wild Fork, and its parents, affiliates, subsidiaries, and advertising and Program agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the foregoing (collectively, "Released Parties") from any and all injuries, liability, losses, costs, expenses (including reasonable attorneys’ fees) and damages of any kind to persons or property resulting, in whole or in part, directly or indirectly, from your participation in the Program or the acceptance, possession, use or misuse of any awarded prize (or portion thereof).
Released Parties are not responsible and disclaim all liability for: (d) technical malfunctions; (e) late, lost or damaged entries; (f) failures, omissions, interruptions or unavailability of any network, or any other electronic issues; (g) any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Program; (h) inability to access Wild Fork’s website; or (i) injury or damage to your or to any other person's computer related to or resulting from participating in the Program or downloading materials from or use of Wild Fork’s website. Wild Fork may disqualify anyone from participating in the Program or receiving an Offer or Reward (and void all associated Rewards and Offers) if, in its sole discretion, it determines that such person is attempting to undermine the legitimate operation of the Program, whether by cheating, deception or other unfair practices, or intending to annoy, abuse, threaten or harass any other customer or Wild Fork’s representatives. ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, WILD FORK RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. Wild Fork reserves the right in its sole discretion to disqualify any individual in violation of these Terms and/or to cancel, modify or suspend the Program, or any portion thereof, for any reason, including if any cause corrupts the administration, security.
DISPUTE RESOLUTION. Except where prohibited by law, as a condition of participating in the Program, the you agree that: (a) any and all disputes, claims and causes of action arising out of or connected with the Program shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration applying Ontario law and held in Toronto, Ontario, and judgment upon such arbitration award may be entered in any Ontario court having jurisdiction; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs; (c) under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages; and (d) any and all rights to have damages multiplied or otherwise increased that you may be entitled to are hereby expressly waived. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of you and Wild Fork in connection with the Program, shall be governed by, and construed in accordance with, the laws of the Province of Ontario, without giving effect to any choice of law or conflict of law rules (whether of the Province of Ontario or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of Ontario. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
